AskSello is an AI-powered knowledge platform that enables organizations to securely organize, search, and interact with their own business knowledge using artificial intelligence.

The Services may include:

• AI-powered knowledge search
• AI-generated answers
• Document management
• Team workspaces
• Saved Answers
• Training resources
• Workspace administration
• Analytics
• Subscription management
• Other features we may introduce from time to time

You must be at least eighteen (18) years old or the age of majority in your jurisdiction to use the Services.

If you create or use an account on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account.

You agree to:

• Provide accurate and current information.
• Keep your login credentials secure.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activity occurring under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or compromise the security of the platform.

AskSello operates through organization workspaces.

Workspace administrators are responsible for:

• Managing members
• Assigning permissions
• Managing uploaded knowledge
• Configuring workspace settings
• Managing subscriptions

Administrators are responsible for ensuring that all members comply with these Terms.

Customers may upload documents, manuals, policies, playbooks, presentations, spreadsheets, forms, training materials, and other business content ("Customer Content").

You retain all ownership rights to your Customer Content.

By uploading Customer Content, you grant AskSello a limited, non-exclusive license to host, store, process, index, and analyze such content solely for the purpose of providing the Services.

AskSello uses artificial intelligence to generate responses based on your organization's knowledge and selected AI models.

While we strive to provide accurate and useful information:

• AI responses may contain inaccuracies or omissions.
• Responses may not always reflect the latest information.
• AI-generated content should not be relied upon as legal, medical, financial, tax, or other professional advice.

You are responsible for reviewing and validating AI-generated responses before making business or operational decisions.

You agree not to:

• Violate any applicable laws or regulations.
• Upload malicious software or harmful code.
• Attempt unauthorized access to another organization's workspace.
• Circumvent security measures.
• Reverse engineer the platform.
• Use the Services for illegal, fraudulent, or abusive purposes.
• Upload content that infringes the rights of others.
• Interfere with the normal operation of the Services.

We reserve the right to investigate suspected violations and take appropriate action, including suspension or termination of accounts.

Some features of AskSello require a paid subscription.

Subscription plans, pricing, storage limits, AI conversation limits, and available features are described on our Pricing page.

We reserve the right to modify pricing, features, or plan limits upon reasonable notice. Existing subscriptions will continue under their current billing cycle unless otherwise stated.

Paid subscriptions are processed through Paddle, our Merchant of Record.

By purchasing a subscription, you agree that:

• Paddle will process your payment.
• Applicable taxes may be collected.
• Subscription fees are billed in advance.
• Your subscription automatically renews unless canceled before the renewal date.
• You authorize Paddle to charge your selected payment method for recurring subscription fees.

Payment processing is subject to Paddle's terms and privacy policy.

AskSello may offer a free trial for eligible users.

At the end of the trial:

• You may choose to subscribe to a paid plan.
• If no subscription is purchased, your workspace may lose access to premium features or become subject to the limitations of the free plan, if available.

We reserve the right to modify or discontinue free trial offers at any time.

You may cancel your subscription at any time through your account settings or the Paddle customer portal.

Unless otherwise specified:

• Cancellation prevents future renewals.
• Your subscription remains active until the end of your current billing period.
• No additional subscription fees will be charged after cancellation.

Deleting your account does not automatically cancel an active subscription. Customers are responsible for canceling recurring subscriptions before the next renewal date.

We want you to feel confident using AskSello. We offer a 30-day money-back guarantee on paid subscriptions.

If you are not satisfied with your purchase, you may request a full refund within 30 days of the original charge date, for any reason. This applies to new subscriptions and the first renewal charge for each billing cycle.

How to request a refund. Refunds are processed by our Merchant of Record, Paddle. You can request a refund directly through paddle.net using the email address on your invoice, or contact us at support@asksello.com and we will coordinate the refund with Paddle on your behalf.

Approved refunds are issued to the original payment method where possible and typically appear within 5–10 business days, depending on your bank or card issuer.

Nothing in this policy limits any rights you may have under applicable consumer protection laws.

We strive to provide a reliable and secure platform but do not guarantee uninterrupted or error-free operation.

The Services may occasionally be unavailable due to:

• Scheduled maintenance
• Security updates
• Infrastructure failures
• Internet disruptions
• Third-party service outages
• Events beyond our reasonable control

All rights, title, and interest in the AskSello platform, software, branding, logos, designs, and technology remain the exclusive property of AskSello or its licensors.

These Terms do not grant you ownership of any AskSello intellectual property.

We recognize that Customer Content may contain confidential business information.

We will use commercially reasonable measures to protect the confidentiality of Customer Content and will not intentionally disclose it except:

• To provide the Services
• With your authorization
• To comply with legal obligations
• To protect the rights, safety, or security of AskSello or others

To the fullest extent permitted by law, AskSello shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, business interruption, loss of goodwill, or loss of data arising from your use of the Services.

Our total aggregate liability arising out of or relating to these Terms shall not exceed the total subscription fees paid by you to AskSello during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes liability that cannot be excluded under applicable law.

You agree to indemnify and hold harmless AskSello, its officers, employees, contractors, and affiliates from any claims, damages, liabilities, losses, and expenses arising from:

• Your use of the Services
• Your Customer Content
• Your violation of these Terms
• Your violation of applicable laws
• Your infringement of third-party rights

We may suspend or terminate your access to the Services if:

• You violate these Terms.
• Your subscription remains unpaid.
• We detect fraudulent or illegal activity.
• Continued access poses a security risk.
• We are required to do so by law.

Upon termination, your right to access the Services will immediately cease.

We may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.

When material changes are made, we will update the "Last Updated" date and, where appropriate, provide notice through the Services or by email. Your continued use of AskSello after the effective date of the revised Terms constitutes your acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of laws principles.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of the Philippines, unless applicable law provides otherwise.
